LICENSE TERMS
Sisimono Enterprises (hereinafter: “Sisimono”), having its registered office at Zandbergweg 89, 4818 LK Breda, the Netherlands, hereinafter referred to as the “Licensor”.
APPLICABILITY AND ACCEPTANCE
By purchasing a product (i.e., the Design Files) through the Sisimono website, you (“User”) acknowledge that you have read, understood, and accepted these License Terms. If you do not agree to these License Terms, you are not permitted to purchase, use, and/or download the Design Files.
These License Terms apply to all purchases of digital Design Files made through the Sisimono website.
WHEREAS:
a. Sisimono is the owner of design files for (decorative) lamps intended for production through 3D‑printing technology (hereinafter: the “Design Files”);
b. All intellectual property rights relating to the Design Files are fully and exclusively vested in Sisimono;
c. Sisimono is willing to grant the purchaser of the Design Files a right of use solely for personal, non‑commercial purposes
d. The Design Files concern decorative outer casings intended for use with low‑voltage LED lighting with low heat emission, and do not constitute a complete lighting product; and
e. User uses the Design Files at their own expense and risk.
ARTICLE 1: Grant of License
1.1. Sisimono grants the User a non‑exclusive, non‑transferable, personal license to use the Design Files. This license shall hereinafter be referred to as the “License”.
1.2. The License is granted exclusively for personal, non‑commercial use. The License therefore includes only the right to:
• download and store the Design Files for personal use;
• use the Design Files for 3D‑printing (decorative) lamps;
• adjust scale or print‑related settings for personal use without acquiring any intellectual property rights;
• print multiple copies solely for personal use.
1.3. The User is not permitted to transfer the License or any rights or obligations arising from this agreement to third parties, to grant sub‑licenses, or to share the Design Files with third parties in any form, unless Sisimono has provided prior written consent.
1.4. The License is granted as of the date of purchase and acceptance of these License Terms by the User. The License is granted for an indefinite term, provided the User complies with these terms.
ARTICLE 2: Intellectual Property Rights
2.1. All intellectual property rights in the Design Files, including but not limited to copyright, database rights, design rights, trademark rights, and all other IP rights, remain exclusively and fully vested in Sisimono.
2.2. Any modifications, alterations, adaptations or derivative works created by the User—including but not limited to scaling, print settings, material changes, colour variations, or structural adjustments—do not result in any transfer of intellectual property rights nor the creation of new rights in favour of the User.
2.3. These terms do not imply any transfer of ownership or any right other than the limited user right described in Article 1. The User acquires no (intellectual) property rights in the Design Files.
2.4. The User acknowledges and accepts that the Design Files, including all technical specifications, design choices, geometry, construction methods, production techniques, and underlying know‑how qualify as trade secrets and/or confidential business information of Sisimono.
ARTICLE 3: Prohibitions
3.1. The User is expressly prohibited, without Sisimono’s prior written consent, from:
a. selling, licensing, or otherwise commercially exploiting the Design Files or printed objects;
- The User is permitted to create and publicly publish photos or other visual material of printed objects—solely for non‑commercial presentation or informational purposes—provided that a clear and legible credit “© Sisimono” or another source indicated by Sisimono is always included.
b. printing the Design Files with the intention of selling, reselling, distributing, or trading them;
c. producing printed objects for third parties, including but not limited to clients, customers, studios, shops, architectural firms, or interior projects;
d. using printed objects in commercial environments, including hotels, restaurants, offices, retail spaces, showrooms, galleries or short‑stay accommodations such as Airbnb, holiday homes, or temporary rentals;
e. sharing, uploading, distributing, reselling, or sublicensing the Design Files in any form;
f. modifying, decomposing, or otherwise editing the Design Files in a way that affects the integrity, recognisability, or authenticity of the design, except for scale or print‑related adjustments.
3.2. Any breach of Article 3 constitutes a material breach of this License. In such case, the Licensor is entitled to immediately terminate the License.
ARTICLE 4: Warranties and Obligations
4.1. Sisimono will make the Design Files available to the User digitally, following payment, through the agreed download method.
4.2. The User warrants that they will use the Design Files strictly in accordance with these License Terms, the general terms and conditions, the return policy, and all applicable laws and regulations.
ARTICLE 5: Risk and Liability
5.1. Use of the Design Files and printed objects is entirely at the User’s own risk. The User indemnifies Sisimono against all third‑party claims related to the use of the Design Files and printed objects.
5.2. Sisimono is not liable for any damage, whether direct or indirect, including but not limited to material damage, fire, loss, personal injury, or any other consequences arising from incorrect installation, improper use, and/or modification of the Design Files or printed objects and/or the use of third‑party components.
5.3. Sisimono is not liable for damage resulting from defects in printed objects, defects in 3D‑printing materials, print quality, or the functionality of printed objects.
5.4. In all cases, Sisimono’s liability is limited to the amount paid by the User for the Design Files.
ARTICLE 6: Support and Maintenance
6.1. Sisimono is under no obligation to provide any form of support, maintenance, updates, or technical assistance regarding the Design Files or the printing process.
6.2. Any instructions, tips, or advice provided by Sisimono are non‑binding and offered without warranty or liability.
ARTICLE 7: Enforcement
7.1. Unauthorized use or violation of these terms may result in enforcement measures, including claims for damages, takedown requests, and/or legal action.
7.2. If the User is uncertain whether a particular intended use is permitted under this License, the User must assume that it is not permitted and must contact Sisimono before proceeding.
ARTICLE 8: Termination
8.1. Sisimono may terminate this License with immediate effect if the User breaches any provisions of these License Terms.
8.2. Upon termination, the User’s right of use ends immediately, and the User must delete and cease all use of any copies of the Design Files in their possession.
ARTICLE 9: Final Provisions
9.1. This License Agreement is governed by Dutch law.
9.2. Any amendments or additions to these License Terms may only be made by Sisimono in writing.
9.3. If any part of the License is found to be invalid, this does not affect the validity of the remaining terms. Sisimono will amend the invalid part so that its effect is approximated as closely as possible, in line with the spirit and intent of the agreement.
9.4. Any disputes arising from these License Terms will be submitted to the competent court in Amsterdam.
